1. Contracting Parties and Scope of Application
1.1 These Terms constitute the agreement between you and the operator of the VarrMall platform (the "Platform", "we" or "us") concerning the use of the VarrMall cross-border e-commerce standalone-site SaaS system (including the Merchant Admin and the associated Store sites, collectively the "Services").
1.2 These Terms apply to:
- holders of a merchant master account who register for, log into and use the Merchant Admin;
- users of staff sub-accounts created by a merchant through the Merchant Admin (the merchant master account bears responsibility for all operations carried out through staff accounts).
1.3 These Terms, together with the following documents, form the complete agreement: ① the Privacy Policy; ② the Data Processing Agreement (DPA, presented for confirmation at onboarding); ③ the fees, quotas and feature descriptions published on the subscription plan and billing pages; and ④ any rules or announcements issued by the Platform in respect of specific features. In the event of any inconsistency between those documents and these Terms, the specialized document prevails.
1.4 How you accept: By ticking "I have read and agree to the Platform Service Agreement and the Privacy Policy" on the registration page and completing registration, or by continuing to use the Services after logging in, you are deemed to have read, understood and accepted these Terms. If you do not agree, please stop registering for or using the Services immediately.
1.5 If you register on behalf of an enterprise or other organization, you represent and warrant that you have been duly authorized by that entity.
2. Account Registration, Onboarding and Qualification
2.1 Registration requires mobile number verification, and a mobile number must be globally unique on the Platform. In order to prevent bulk registration and account abuse, the Platform applies risk controls to abnormal registration behaviour (such as repeated registrations from the same mobile number or the same IP address within a short period) and may refer the matter to manual review where necessary.
2.2 You shall provide true, accurate, complete and valid registration information and business qualification materials (including, without limitation, information on your enterprise or sole proprietorship, your business licence, and any other supporting documents required by the Platform). You shall update such information within 7 days of any change.
2.3 The Platform is entitled to conduct a qualification review of the materials and to decide, on the basis of the review outcome, whether to activate or continue providing the Services. Where false or expired qualification materials are provided, or materials belonging to another party are used without authorization, the Platform may refuse, suspend or terminate the Services.
2.4 A Store must pass the Platform's launch review before it goes live externally. Once approved, the Store may be accessed externally through the subdomain allocated by the Platform and, where configured, the custom domain you have bound. You are solely responsible for the DNS resolution, regulatory filing and compliance of any custom domain.
2.5 Staff sub-accounts: Within the number of users permitted by your Plan, you may create staff accounts and assign roles (such as Administrator, Operations, Customer Service and Finance). You are responsible for all operations carried out through sub-accounts and shall disable or adjust a sub-account promptly when an employee leaves or their permissions change.
2.6 Account security: You shall keep your account and password secure (passwords are stored by the Platform using irreversible encryption). Several consecutive incorrect password entries will trigger a temporary lockout; once a reset through "Forgot password" succeeds, any existing login sessions for that account are invalidated. Accounts may be used only by you and your authorized staff and may not be rented out, lent, transferred or shared. If you discover that your account has been misappropriated, you shall notify the Platform immediately.
3. Scope of the Services
3.1 The Platform provides you with software services for a cross-border e-commerce standalone site. The main features include: Store settings and custom domains; product and category management (including multilingual fields); order and Return & exchange processing; Payment Channel Configuration; logistics and shipping-rate templates; customer management; marketing tools such as Coupons; Email templates; page building (DIY); article and content management; an image asset library; AI Customer Support; AI text and image translation; GEO (Generative Engine Optimization) promotion assistance; and data dashboards and Export. The specific scope of features is governed by the Plan to which you subscribe and by what the Platform publishes; certain features may be in Trial, in gradual rollout, or designated as phase-two functionality.
3.2 The Platform is not a party to transactions: The Platform provides software and technical services only and is not an agent, trustee, guarantor or joint operator of either party to a sale. Product information, pricing, inventory, delivery, quality, returns & exchanges and After-sales service within a Store are your responsibility alone and are to be resolved directly between you and the consumer. The Platform does not take a transaction commission from your Store's gross merchandise value (GMV).
3.3 The Services are provided on an "as is" and "as available" basis. The Platform will use reasonable efforts to maintain service availability, but does not warrant that the Services will be absolutely uninterrupted or error-free, nor does it warrant any business outcome (including traffic, order volume, conversion rates, or the ranking or citation of AI-generated content on third-party platforms).
3.4 The Platform may connect third-party services to your Store (payment, logistics, email, SMS, AI models, cloud storage, analytics tools and the like). The independent rules, fees and availability of those third parties are determined by them; the Platform is not liable for interruptions to or changes in third-party services, but will use reasonable efforts to assist you in dealing with them.
4. Plans, Billing and Tokens
4.1 The Plan tiers are Trial, Basic, Professional and Enterprise, and are offered on monthly and annual billing cycles. The price of each tier, the maximum number of products, staff and languages, and the Token quotas are governed by the information published in real time on the subscription page.
4.2 Payment methods: The Platform collects subscription fees through Alipay and other channels, and the channels actually available are those shown on the checkout page. The Platform currently does not offer password-free deductions or automatic billing; please renew manually on the subscription page before your Plan expires.
4.3 Expiry and downgrade: Before your Plan expires, the Platform will remind you by in-site notification, email or SMS (usually on the 3rd day and the 1st day before expiry). If you do not renew, a 7-day grace period begins, during which the storefront remains accessible while back-office features are restricted in accordance with Platform rules; at the end of the grace period the account is downgraded to "expired (INACTIVE)".
4.4 Data retention and restoration: After a downgrade to INACTIVE, the Platform retains your data for 90 days; if you renew within those 90 days, your original Plan tier and features are restored. Beyond 90 days, the Platform may archive or delete the data after issuing a final notice.
4.5 Upgrades and downgrades: When upgrading from a lower tier to a higher tier, the calculation of the price difference and the effective time are governed by the rules on the subscription page; where a downgrade causes the number of products, staff or languages to exceed the applicable limits, the Platform will restrict additions and prompt you to upgrade.
4.6 Tokens: AI-related capabilities (translation, AI Customer Support, AI image processing, GEO optimization and the like) are billed by Token. Token allowances of each type are included with your Plan, and Token top-up packs may be purchased when an allowance is insufficient. When consumption of a given Token type reaches 80%, the Platform will send an alert. Once Tokens are consumed, the corresponding service is deemed to have been provided.
4.7 Refunds: The Services are virtual services delivered online and commence upon activation or renewal. Except where mandatory law provides otherwise, where the Platform has expressly undertaken otherwise, or where a cause attributable to the Platform renders the Services unavailable for a prolonged period during the term, fees paid for the Services are non-refundable; the treatment of unconsumed Token top-up packs is governed by the rules published by the Platform.
4.8 The Platform may adjust prices and billing rules and will notify you in advance by in-site notification or email; an adjustment does not apply retroactively to a subscription period that you have already paid for and that is still running.
4.9 The Platform keeps complete billing records for each Plan and Token transaction and retains them for 2 years after the Plan is terminated.
5. Your Rights and Obligations
5.1 You are entitled to use the Services within the scope of your Plan, to access and Export your own business data, and to obtain support in relation to the Services.
5.2 Lawful and compliant operation: You shall comply with the laws and regulations applicable at your place of registration, your place of business and the consumer's location, including, without limitation, consumer protection, product safety and certification, import and export and customs duties, tax (the registration, collection and filing of sales tax, VAT and GST), advertising and content compliance, and data protection. These compliance obligations are borne by you alone; the Platform does not act as your tax or legal adviser.
5.3 Prohibited conduct: You may not use the Services to engage in or facilitate any of the following:
- selling or promoting goods and services that are prohibited from circulation by law, or that require a specific licence which you have not obtained;
- infringing the intellectual property rights of others (trademarks, copyright, patents, design rights), their trade secrets, image rights, reputation rights or other lawful rights and interests, including the sale of counterfeit, imitation or unauthorized goods;
- false advertising, price fraud, fake orders or review manipulation, incentivized positive reviews, pyramid schemes or other unfair competition;
- uploading or disseminating malicious code, spam, or unlawful or harmful content;
- accessing, scanning or probing the systems and data of the Platform or of other tenants without authorization, or subjecting the Services to stress testing, scraping or reverse engineering;
- circumventing the Platform's billing, quota, permission or security mechanisms, or reselling, renting out or redistributing the Services;
- using the Services for purposes unrelated to the operation of your own Store.
5.4 Responsibility for content: You are responsible for the truthfulness, legality and accuracy of all content published in your Store (product names, descriptions, images, videos, articles, reviews, customer service scripts, policy terms and the like).
5.5 AI-generated content requires human review: Outputs such as AI translations, AI Customer Support replies, AI image processing and AI marketing copy may contain inaccuracies or errors, or may not conform to the conventions of the target market. You shall review and proofread them before publication and are responsible for the content you ultimately publish.
5.6 Consumer data: In respect of the personal data of your Store's consumers, you are the Controller and the Platform is a Processor acting on your behalf (see the Privacy Policy and the Data Processing Agreement for details). You shall yourself provide consumers with privacy notices and consent mechanisms that satisfy local legal requirements, and you may not use data provided by the Platform for purposes other than the operation of your Store, nor Export, resell or otherwise make available to others the personal data of consumers in breach of Platform rules.
5.7 Payment channels: Payment channel accounts are applied for and contracted by you directly with institutions such as PayPal, Stripe and Airwallex. You shall comply with the rules of each channel (including prohibited categories and chargeback and dispute handling rules). You bear any loss caused by restrictions, freezes or bans imposed on your channel accounts.
5.8 After-sales and disputes: You shall establish and publish your Store's returns & exchanges, refund and delivery policies, and shall handle consumer complaints and disputes promptly.
6. Rights and Obligations of the Platform
6.1 The Platform shall provide and maintain the Services in accordance with these Terms and your Plan, adopt reasonable technical and organizational measures to safeguard system and data security, and back up data regularly.
6.2 Handling of violations: If you breach laws or regulations, these Terms or Platform rules, or if you infringe the lawful rights and interests of consumers or third parties, or endanger the security of the Platform, the Platform may, depending on the circumstances, take one or more of the following measures: issuing a warning and requiring rectification; restricting or disabling specific features; removing non-compliant products or content; suspending Store access; suspending or terminating the Services; and banning the account. Where a criminal offence is suspected or a regulator so requires, the Platform may preserve evidence and report to the competent authorities in accordance with law.
6.3 While an account is banned, the Platform suspends the Plan expiry countdown and the associated billing, and the expiry date is extended by the number of days of the ban.
6.4 Service changes and interruptions: The Platform may change the Services on grounds of technical upgrades, security requirements or business adjustments; scheduled maintenance will be announced in advance. The Platform is not liable for service interruptions caused by force majeure, by third parties, or by your equipment or network, but will use reasonable efforts to minimize the impact.
6.5 The Platform does not pre-screen all content you publish in your Store, but is entitled to remove content once it discovers it or is notified of it, without thereby assuming any obligation of prior review or any warranty as to the legality of your content.
6.6 The Platform may compile and analyse usage of the Services in order to improve its products; such analysis is carried out in aggregated form that excludes your sensitive business information and consumers' personally identifiable information.
7. Intellectual Property
7.1 The Platform and its licensors own all intellectual property rights in the Services (including the software, code, interfaces, Templates, Components and documentation, and the "VarrMall" trademark and logo). During the subscription term, the Platform grants you a limited, non-exclusive, non-transferable and non-sublicensable right of use, solely for operating your own Store in accordance with these Terms.
7.2 You own the rights in the content you upload (product information, images, copy, brand marks and the like). For the purpose of providing the Services to you, you grant the Platform a worldwide, non-exclusive, royalty-free and sub-delegable licence to store, reproduce, cache, convert the format of, translate and transmit such content to the third-party services and AI providers configured by you, and to display it on the storefront. That licence terminates when you delete the content or the Services end (except where retention is required by law or where backups have already been created).
7.3 You represent and warrant that you hold lawful rights in, or have obtained sufficient authorization for, the content you upload, and that it does not infringe the rights of any third party. You shall bear the consequences of any third-party complaint, claim or administrative penalty arising from your content, and shall hold the Platform harmless.
7.4 Feature suggestions and feedback you provide to the Platform do not constitute confidential information and may be used freely by the Platform without any obligation.
8. Data and Privacy
8.1 The Platform collects and processes your account information, Store operating information, staff information and usage logs in accordance with the Privacy Policy. In respect of the personal data of your Store's consumers, the Platform acts as Processor under the Data Processing Agreement and processes such data only on your instructions.
8.2 You may Export business data from the Merchant Admin. Within 90 days after the Services end you may still apply to the Platform for an Export; if you fail to do so, the Platform may dispose of the data in accordance with Article 4.4.
8.3 The retention periods for each category of data are set out in Article 6 of the Privacy Policy (for example, order and payment records are retained for 7 years and AI Customer Support conversations for 36 months).
9. Term, Termination and Disposal of Data
9.1 These Terms take effect when you complete registration or begin using the Services and remain in force until the Services end.
9.2 You may apply at any time to close your account and terminate the Services. Before closing your account, you shall settle all outstanding fees and properly handle orders, refunds and After-sales matters that have not yet been completed.
9.3 The Platform may terminate the provision of the Services to you in the following circumstances: your Plan has expired and both the grace period and the data retention period have elapsed; you have materially breached these Terms; your legal personality ceases to exist or your business qualifications lapse; or laws, regulations or regulatory requirements so require. Where possible, the Platform will give you advance notice.
9.4 After the Services end, the Platform disposes of your data in accordance with Article 4.4 and Article 6 of the Privacy Policy; where laws or regulations require continued retention (for example financial and transaction records), the Platform will retain them for the statutory period and restrict the purposes for which they are processed.
10. Disclaimer and Limitation of Liability
10.1 The Services are provided on an "as is" basis. To the maximum extent permitted by laws and regulations, the Platform gives no express or implied warranty as to the following: that the Services will be uninterrupted or error-free; that data will not be lost; that AI output will be accurate or fit for a particular purpose; or that your Store will obtain any particular traffic, ranking, conversion or revenue.
10.2 The Platform is not liable for losses caused by any of the following:
- force majeure;
- errors in your equipment, network or configuration;
- acts or omissions of you, your staff or your service providers;
- interruption, rate limiting, rule changes or data handling by third-party services (payment, logistics, AI models, cloud services, SMS, email and the like);
- problems with your domain resolution, regulatory filing or business qualifications.
10.3 Special notice on AI and GEO: AI translation, AI Customer Support, AI image processing and GEO optimization rely on third-party large models and their retrieval capabilities; their availability, output and results are determined by those third parties and by the Platform's algorithmic strategy, and may fluctuate as third-party rules, model versions or retrieval mechanisms change. GEO monitoring data (mention rate, citation rate and the like) are only sampled observations of third-party platforms at a particular time and for particular keywords and do not constitute any commitment regarding search rankings or recommendations.
10.4 To the maximum extent permitted by laws and regulations, the Platform's aggregate liability to you in respect of the Services is capped at the total subscription fees you paid to the Platform in the 12 months preceding the event giving rise to the claim. The Platform is not liable for indirect losses, loss of profit, loss of goodwill, loss of data or loss of anticipated revenue.
11. Changes to These Terms
11.1 The Platform may revise these Terms in response to changes in laws or regulations, product adjustments or operational needs. When it does so, it will give you advance notice through Merchant Admin announcements, in-site notifications or email (material revisions are usually notified at least 7 days in advance).
11.2 If you continue to use the Services after a revision takes effect, you are deemed to accept the revised content; if you do not agree, you shall stop using the Services and apply to terminate before the effective date, and paid fees will be handled in accordance with Article 4.7.
12. Governing Law and Dispute Resolution
12.1 The formation, validity, interpretation, performance and dispute resolution of these Terms are governed by the laws of the place where the Platform operating entity is established (excluding conflict-of-law rules).
12.2 Disputes arising from these Terms shall first be resolved by the parties through friendly negotiation; if negotiation fails, either party may bring an action before the People's Court with jurisdiction at the place where the Platform operating entity is established.
12.3 If any provision of these Terms is held invalid or unenforceable, the validity of the remaining provisions is not affected.
13. Contact Us
13.1 For matters relating to the Services and these Terms, you may contact us as follows:
- Support email: [email protected]

13.2 These Terms are standard text. If the Platform and you have separately executed a written agreement and the two conflict, the provisions of the written agreement prevail.
