1. Parties and Scope
1.1 These Terms constitute the agreement between you and Qingdao Xiaotonghao Information Technology Co., Ltd. (青岛小茼蒿信息技术有限公司), the operator of the VarrMall platform (hereinafter the "Platform" or "we"), regarding access to the VarrMall website and use of the VarrMall cross-border e-commerce standalone-site SaaS system (including the website, the Merchant Admin and the related store sites, collectively the "Services").
1.2 These Terms apply to:
- visitors who browse the website, submit an enquiry or apply for a Trial;
- holders of the merchant master account who register, log in and use the Merchant Admin;
- users of employee sub-accounts created by the merchant through the Merchant Admin (the merchant master account bears responsibility for operations carried out through employee accounts).
1.3 These Terms, together with the following documents, form the entire agreement: (i) the Privacy Policy; (ii) the User Agreement; (iii) the VarrMall Platform Terms of Service (Merchant Version, presented for confirmation upon onboarding); (iv) the Data Processing Agreement (DPA, presented for confirmation upon onboarding); and (v) the fees, quotas and feature descriptions published on the subscription plan and billing pages. In the event of any inconsistency between those documents and these Terms, the specialized document prevails; where the merchant-facing documents contain separate provisions on matters specific to merchants, those provisions prevail.
1.4 How you accept: if you check "I have read and agree to the Platform Service Agreement and the Privacy Policy" on the registration page and complete registration, or if you continue to use the Services after logging in, you are deemed to have read, understood and accepted these Terms. If you do not agree, you must immediately stop registering for or using the Services.
1.5 If you register on behalf of an enterprise or other organization, you represent and warrant that you have obtained lawful authorization from that entity.
2. Account Registration, Login and Security
2.1 Registration requires mobile phone number verification, and each mobile number must be globally unique on the Platform. To prevent bulk registration and account abuse, the Platform applies risk controls to abnormal registration activity (such as repeated registrations from the same mobile number or the same IP address within a short period) and may refer such cases to manual review.
2.2 You shall provide true, accurate, complete and valid registration information and business qualification materials, and shall update them within 7 days of any change. Where you provide false, expired or misappropriated qualification materials, the Platform is entitled to refuse, suspend or terminate the Services.
2.3 Account security: you shall keep your account and password secure (passwords are stored by the Platform using irreversible encryption). Entering an incorrect password repeatedly will trigger a temporary lock; after a successful reset via "Forgot password", existing login sessions for that account will be invalidated. Accounts may be used only by you and your authorized employees and may not be rented, lent, transferred or shared. If you discover that your account has been compromised, you must notify the Platform immediately.
3. Services and the Platform's Role
3.1 The Platform provides you with software services for cross-border e-commerce standalone sites. The main features include: Store setup and custom domains, product and category management (including multilingual fields), order and Return & exchange processing, Payment channel configuration, Logistics and Shipping fee template, customer management, marketing tools such as Coupon, email Template, page design (DIY page builder), article and content management, image asset library, AI Customer Support, AI text and image translation, GEO (Generative Engine Optimization) campaign support, Data dashboard and exports, and more. The specific scope of features is subject to the Plan you subscribe to and to the Platform's published descriptions; certain features may be in Trial, in gradual rollout, or designated as phase-two features.
3.2 The Platform is not a party to transactions: the Platform provides software and technical services and is not an agent, trustee, guarantor or joint operator of either the buyer or the seller. Product information, pricing, inventory, delivery, quality, Returns & exchanges and After-sales service within a Store are your responsibility alone, and are to be resolved directly between you and the consumer. The Platform does not take a transaction commission from the gross merchandise value (GMV) of your Store.
3.3 The Services are provided on an "as is" and "as available" basis. The Platform will use reasonable efforts to maintain service availability, but does not warrant that the Services will be absolutely uninterrupted or error-free, nor does it promise any business outcome (including traffic, order volume, conversion rate, or the ranking or citation of AI-generated content on third-party platforms).
3.4 The Platform may connect third-party services to your Store (payment, Logistics, email, SMS, AI models, cloud storage, analytics tools, etc.). The independent terms, fees and availability of those third parties are determined by them, and the Platform is not liable for interruptions to or changes in third-party services, but will use reasonable efforts to assist you.
4. Trial, Plans and Billing
4.1 Free Trial: newly registered merchants may enjoy a 14-day full-feature free Trial, and no payment method is required during the Trial period. If you do not subscribe when the Trial expires, storefront access and Merchant Admin features will be restricted in accordance with Platform rules.
4.2 Plans and payment methods: Plan tiers, prices, and the maximum number of products, employees and languages, together with Token quotas, are subject to the information published in real time on the subscription page. The Platform collects subscription fees through Alipay and other channels. The Platform currently does not offer password-free or automatic debit; before your Plan expires, please complete renewal manually on the subscription page.
4.3 Expiry and downgrade: before a Plan expires, the Platform will send reminders by in-site notification, email or SMS (usually on the 3rd and 1st day before expiry). If you do not renew, a 7-day Grace period begins, during which the storefront remains accessible while Merchant Admin features are restricted in accordance with Platform rules; at the end of the Grace period the account is downgraded to "expired (INACTIVE)".
4.4 Data retention and restoration: after downgrade to INACTIVE, the Platform retains your data for 90 days; if you complete renewal within those 90 days, your original Plan tier and features are restored. Beyond 90 days, the Platform may archive or delete the data after issuing a final notice.
4.5 Tokens: AI-related capabilities (translation, AI Customer Support, AI image processing, GEO optimization, etc.) are billed by Token. Token allowances are granted with each Plan, and Token top-up packages may be purchased when an allowance is insufficient. When consumption of a given Token type reaches 80%, the Platform will send an early warning. Once Tokens are consumed, the corresponding service is deemed to have been provided.
4.6 Refunds: the Services are virtual services delivered online and commence upon activation or renewal. Except where mandatory law provides otherwise, where the Platform has given an express commitment, or where the Services are unavailable for an extended period during the term for reasons attributable to the Platform, fees paid for the Services are non-refundable; the treatment of unconsumed Token top-up packages is governed by the rules published by the Platform.
4.7 The Platform may adjust prices and billing rules and will give advance notice of any adjustment by in-site notification or email; adjustments do not apply retroactively to subscription periods you have already paid for that remain in effect.
5. Acceptable Use
5.1 You shall comply with the laws and regulations applicable in your place of registration, your place of business and the places where your consumers are located, including but not limited to consumer protection, product safety and certification, import and export and customs duties, taxation (registration, collection and filing of sales tax, VAT and GST), advertising and content compliance, and data protection. These compliance obligations are yours alone, and the Platform does not act as your tax or legal adviser.
5.2 Prohibited conduct: you must not use or assist others in using the Services to:
- sell or promote goods or services that are prohibited from circulation by law, or that require a specific licence which has not been obtained;
- infringe the intellectual property rights (trademarks, copyright, patents, designs), trade secrets, rights of portrait or reputation of others, including selling counterfeit, imitation or unauthorized goods;
- engage in false advertising, price fraud, fake orders or reviews, incentivized positive reviews, pyramid schemes or other unfair competition;
- upload or disseminate malicious code, spam, or unlawful or harmful content;
- access, scan or probe the systems and data of the Platform or other tenants without authorization, or conduct stress testing, scraping or reverse engineering of the Services;
- circumvent the Platform's billing, quota, permission or security mechanisms, or resell, rent out or redistribute the Services;
- use the Services for purposes unrelated to the operation of your own Store.
5.3 Content responsibility and AI review: you are responsible for the truthfulness, legality and accuracy of all content you publish in your Store (product names, descriptions, images, videos, articles, reviews, customer service scripts, policy terms, etc.). Outputs such as AI translations, AI Customer Support replies, AI image processing and AI marketing copy may contain deviations or errors, or may not conform to the conventions of the target market; you must review and proofread them before publication and are responsible for the content as finally published.
5.4 Consumer data: with respect to the personal information of your Store's consumers, you are the Controller and the Platform is the Processor acting on your instructions. You must provide consumers with privacy notices and consent mechanisms that comply with local law, and must not export, resell or otherwise disclose consumers' personal information in violation of Platform rules.
6. Intellectual Property
6.1 The Platform and its licensors own all intellectual property rights in the Services (including the software, code, interfaces, Templates, components, documentation, website copy and page designs, and the "VarrMall" trademark and logo). During the term of your subscription, the Platform grants you a limited, non-exclusive, non-transferable, non-sublicensable right of use, solely for operating your own Store in accordance with these Terms.
6.2 You own the rights in the content you upload (product information, images, copy, brand marks, etc.). For the purpose of providing the Services to you, you grant the Platform a worldwide, non-exclusive, royalty-free, sub-delegable licence to store, reproduce, cache, convert the format of, translate into other languages, transmit to third-party services and AI providers configured by you, and display such content on the storefront. This licence terminates when you delete the content or the Services end (except where retention is required by law or backups have already been created).
6.3 You represent and warrant that you hold lawful rights in the content you upload, or have obtained sufficient authorization for it, and that it does not infringe the rights of any third party. You are solely liable for any third-party complaint, claim or administrative penalty arising from your content, and shall hold the Platform harmless.
6.4 Without the Platform's written permission, you may not repost, mirror, bulk-scrape or otherwise use the website content for commercial purposes (see the User Agreement for details).
7. Personal Information and Data
7.1 The Platform collects and processes your account information, Store operating information, employee information and usage logs in accordance with the Privacy Policy. With respect to the personal information of your Store's consumers, the Platform processes it as a Processor, and solely on your instructions, in accordance with the Data Processing Agreement.
7.2 The retention periods for each category of data and the ways in which you may exercise your rights are set out in the relevant provisions of the Privacy Policy.
7.3 You may export your operating data in the Merchant Admin; within 90 days after the Services end, you may still request an export from the Platform.
8. Disclaimers and Limitation of Liability
8.1 The Services are provided on an "as is" basis. To the maximum extent permitted by laws and regulations, the Platform gives no express or implied warranty as to the following: that the Services will be uninterrupted or error-free, that data will not be lost, that AI output will be accurate or fit for a particular purpose, or that your Store will achieve any particular traffic, ranking, conversion or revenue.
8.2 The Platform is not liable for losses caused by any of the following:
- force majeure;
- errors in your devices, network or configuration;
- acts or omissions by you, your employees or your service providers;
- interruption, rate limiting, rule changes or data handling by third-party services (payment, Logistics, AI models, cloud services, SMS, email, etc.);
- problems with your domain name resolution, filing or business qualifications.
8.3 Special notice on AI and GEO: AI translation, AI Customer Support, AI image processing and GEO optimization rely on third-party large models and their retrieval capabilities; their availability, output and results are determined by those third parties and by the Platform's algorithmic strategies, and may fluctuate with changes in third-party rules, model versions or retrieval mechanisms. GEO monitoring data (mention rate, citation rate, etc.) is only a sample observation made by third-party platforms at a particular time and for particular keywords, and does not constitute any commitment as to search rankings or recommendations.
8.4 To the maximum extent permitted by laws and regulations, the Platform's aggregate liability to you in respect of the Services is capped at the total subscription fees you paid to the Platform in the 12 months preceding the event giving rise to the claim. The Platform is not liable for indirect losses, loss of profit, loss of goodwill, loss of data or loss of anticipated revenue.
9. Service Changes, Suspension and Termination
9.1 The Platform may change the Services on the basis of technical upgrades, security requirements or business adjustments; scheduled maintenance will be announced in advance.
9.2 You may apply to cancel your account and terminate the Services at any time. Before cancellation, you shall settle all outstanding fees and properly handle any orders, refunds and After-sales matters that remain outstanding.
9.3 The Platform may terminate the provision of the Services to you in the following circumstances: the Plan has expired and both the Grace period and the data retention period have elapsed; you have materially breached these Terms; your legal status has ended or your business qualifications have lapsed; or applicable laws, regulations or regulatory requirements so require. Where possible, the Platform will give you advance notice.
9.4 After the Services end, the Platform handles your data in accordance with clause 4.4 and the Privacy Policy; where retention is required by laws or regulations (such as financial and transaction records), the Platform will retain the data for the statutory period and restrict the purposes of processing.
10. Changes to These Terms
10.1 The Platform may revise these Terms in response to changes in laws or regulations, product adjustments or operational needs. When revising them, the Platform will give advance notice through announcements on the website or in the Merchant Admin, in-site notifications or email (material revisions are usually notified at least 7 days in advance).
10.2 If you continue to use the Services after a revision takes effect, you are deemed to accept the revision; if you do not agree, you shall stop using the Services and apply to terminate them before the effective date.
11. Governing Law and Dispute Resolution
11.1 The formation, validity, interpretation, performance and dispute resolution of these Terms are governed by the laws of the place where the Platform's operating entity is located (excluding conflict-of-law rules).
11.2 Any dispute arising out of these Terms shall first be resolved through friendly negotiation between the parties; if negotiation fails, either party may bring an action before the competent People's Court in the place where the Platform's operating entity is located.
11.3 If any provision of these Terms is held invalid or unenforceable, the validity of the remaining provisions is unaffected.
